Terms & Conditions – The One-Day AI Chatbot Build

By checking the box on this page, you (“Client”) agree to retain Mark Brinker & Associates, Inc. (“Consultant”) to proceed with consulting and implementation services, packaged as The One-Day AI Chatbot Build, and agree to the following terms and conditions:

SCOPE OF WORK
During this engagement, Consultant agrees to devote one focused business day to the design, training, testing, and installation of a custom AI chatbot on the Client’s website.

This chatbot will be trained on the Client’s own FAQs, service descriptions, and tone of voice to ensure accuracy, consistency, and professionalism.

Consultant will also record and deliver a brief post-installation walkthrough video showing how the chatbot works and how the Client can request future updates or modifications.

All work will be performed remotely by Consultant.

HOSTING & MAINTENANCE
All chatbots created under this agreement require active Hosting & Maintenance through Consultant.

The first three (3) months of hosting and maintenance are included with the purchase. After that, the service renews automatically at $49/month (USD) until canceled.

This service includes:
- Secure hosting of the chatbot and training data
- Ongoing performance monitoring and basic technical upkeep
- Reasonable updates or adjustments to the chatbot’s content and tone as the Client’s business evolves

“Reasonable updates” are defined as small adjustments typical of normal business operation (e.g., updating hours, services, or pricing). Consultant reserves the right to limit or decline excessive update requests.

Hosting & Maintenance is required for continued chatbot functionality. If this subscription lapses or is canceled, the chatbot will cease operating.

PAYMENT TERMS
The current standard investment for The One-Day AI Chatbot Build is $1,995 USD, payable in full at booking.

Consultant may, at its discretion, offer an alternate payment plan (e.g., two- or three-part payments) or limited-time discounts on the setup fee only. All such variations will be reflected at checkout.

The Hosting & Maintenance fee begins automatically after the initial, complimentary three-month period unless canceled in writing before the renewal date.

All payments are non-refundable.

SCHEDULING, RESCHEDULING & EXPIRATION
After purchase, the Client has 90 days to complete their AI Chatbot Build.

The Client may reschedule once, provided written notice is given at least 7 days prior to the originally scheduled date.

If the chatbot build does not occur within 90 days of purchase—or if rescheduling notice is not given within the 7-day window—the project and all associated payments will be forfeited.

At Consultant’s discretion, a forfeited booking may be reinstated at the current rate if availability permits.

INTELLECTUAL PROPERTY
All chatbot content, training data, and written materials provided by the Client remain the property of the Client.

The underlying chatbot framework, configuration methods, and technical setup processes developed by Consultant remain proprietary and are not transferable.

Client receives a non-exclusive, perpetual license to use the finished chatbot for their own business purposes, as long as Hosting & Maintenance remains active.

PUBLICITY & PORTFOLIO
Client agrees that Consultant may reference the project in marketing materials, portfolio showcases, or educational demonstrations. This may include screenshots, anonymized examples, or general descriptions of the work performed.

Sensitive or confidential business information will never be disclosed.

REFUNDS & CANCELLATIONS
This purchase is non-refundable.

If the Client fails to complete the chatbot build within 90 days or cancels after scheduling, all payments are forfeited.

Refunds are not issued for changes of mind, business direction, or circumstances outside Consultant’s control.

DISCLAIMER
Consultant does not guarantee any specific financial or operational results from the use of the chatbot. Performance depends on Client’s business operations, marketing, and customer engagement.

Consultant’s responsibility is limited to delivering a functional, trained chatbot consistent with the project scope described herein.

ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between Client and Consultant and supersedes all prior discussions or representations. By checking the box on the checkout page and submitting payment, Client acknowledges full acceptance of these terms.
